The filing window opens January 1, so you have three and a half months each year to complete the report.

Two timing details worth knowing:

  • Your first annual report is due the calendar year after the year you formed. An LLC organized in 2026 files its first report in 2027.
  • Corporations file on the same January 1 through April 15 window.

The fee varies by entity type:

Domestic LLC: $0

Foreign LLC: $250

For-profit corporation: $25 (the state lists the corporate report as Form F0008)

Domestic nonprofit corporation: $0

Mississippi accepts annual reports online only, through the Secretary of State's business portal at corp.sos.ms.gov. Paper reports are not accepted. The process looks like this:

  1. Sign in to the SOS business portal, typically with the credentials created when your entity was formed.
  2. Locate your entity using its Business ID number.
  3. Review the pre-populated report. The system carries forward last year's information: entity name, principal office, registered agent, and member or manager details.
  4. Update anything that has changed, and confirm your six-digit NAICS code for the principal business activity.
  5. Provide the FEIN and phone number the state collects. Both are redacted from public view.
  6. Submit the report and save the confirmation email. Online reports are processed immediately, and the confirmation includes a downloadable copy of the filed report along with a tracking number.

One important limitation: the annual report cannot be used to change your registered agent. Mississippi treats an agent change as a separate amendment filing, which we cover on our change of agent page.

Late Filing and Administrative Dissolution

Mississippi charges no late fee for a missed LLC annual report. The penalty amount is $0. The real consequence is administrative dissolution.

Beginning roughly 60 days after the April 15 due date, the Secretary of State can issue a notice of intent to administratively dissolve an LLC that has not filed, with a statutory cure period before dissolution takes effect. A dissolved entity loses the standing and protections your business structure normally provides, which creates complications with banks, contracts, licenses, and the courts.

A few related rules soften the edges:

  • If your report omits required information, the SOS notifies you in writing and returns it for correction. Fix and re-deliver it within 30 days of the notice and it is deemed timely filed.
  • Reinstatement after administrative dissolution requires filing the delinquent report or reports and paying a reinstatement fee, and it may involve additional clearances.

Filing on time is far simpler than any of that, especially when the filing is free.
